Welcome to MagicPassword.io. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Sms Password Bv, a Besloten Vennootschap registered in the Netherlands under company number 62832123, with its registered office at Fellinilaan 131, Almere Stad, 1325TV, The Netherlands ("MagicPassword," "we," "us," or "our"), governing your access to and use of the MagicPassword.io website, applications, and related services (collectively, the "Services").
By accessing or using the Services, creating an account, or clicking to accept these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to all of these Terms, you must not access or use the Services. If you are accepting these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
We reserve the right, in our sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
To use the Services, you must be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is greater. By using the Services, you represent and warrant that you meet this eligibility requirement and that all information you provide to us is accurate, complete, and current.
You may be required to create an account to access certain features of the Services. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activities that occur under your account. You agree to notify us immediately at hi@magicpassword.io if you suspect or become aware of any unauthorized use of your account or any other security breach.
We reserve the right to suspend or terminate your account, refuse service, remove or edit content, or cancel orders in our sole discretion, including if we believe that your conduct violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
MagicPassword provides a cloud-based platform for password management, secret management, access control, and related security services. Our Services include, but are not limited to: password generation and storage; API key and credential management; role-based and policy-based access control; audit logging and compliance reporting; team collaboration features; and integration with third-party applications and infrastructure.
We may, from time to time, add new features, modify existing features, or discontinue features. We will endeavor to provide reasonable notice of significant changes that materially affect your use of the Services, but we reserve the right to make changes without notice in our sole discretion.
We do not guarantee that the Services will be uninterrupted, timely, secure, or error-free. We make no warranty that the results obtained from the use of the Services will be accurate or reliable. You acknowledge and agree that the Services are provided on an "as is" and "as available" basis.
Certain features of the Services may be available only through a paid subscription plan. The fees, billing cycle, and payment methods for each plan are described on our pricing page or as otherwise communicated to you. All fees are quoted in the applicable currency and are exclusive of taxes, duties, levies, or governmental assessments of any nature, which you are responsible for paying.
By providing a payment method, you authorize us to charge the applicable fees to that payment method on a recurring basis, in accordance with the billing cycle of your chosen plan. You are responsible for maintaining current and accurate billing information. Failure to pay fees when due may result in suspension or termination of your account and access to the Services.
You may upgrade or downgrade your subscription plan at any time through your account settings. Upgrades will take effect immediately, and you will be charged the prorated difference for the remainder of the billing cycle. Downgrades will take effect at the start of the next billing cycle. We do not provide refunds or credits for partial months of service, except as required by applicable law or as set forth in our Refund and Chargeback Policy.
You may cancel your subscription at any time. Upon cancellation, your access to paid features will continue until the end of the current billing cycle, after which your account will be downgraded to the free plan or suspended, depending on the circumstances. We reserve the right to delete your data after a reasonable grace period following cancellation, as described in our Privacy Policy.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to, and not to permit any third party to: (a) use the Services in any manner that violates any applicable local, national, or international law or regulation; (b) use the Services for the purpose of exploiting, harming, or attempting to exploit or harm minors in any way; (c) transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation; (d) impersonate or attempt to impersonate MagicPassword, a MagicPassword employee, another user, or any other person or entity; (e) engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm MagicPassword or users of the Services; (f) attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services are stored, or any server, computer, or database connected to the Services; (g) attack the Services via a denial-of-service attack or a distributed denial-of-service attack; (h) use any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material on the Services; (i) introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; (j) attempt to decipher, decompile, disassemble, or reverse-engineer any of the software used to provide the Services; (k) use the Services to store, manage, or transmit illegal content, including but not limited to child sexual abuse material, terrorist content, or content that promotes violence or hatred; or (l) use the Services to store or transmit credentials, secrets, or other data that you are not authorized to possess or manage.
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this section, including without limitation, reporting you to law enforcement authorities.
The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Sms Password Bv, its licensors, or other providers of such material and are protected by Netherlands, European Union, and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms permit you to use the Services for your personal, non-commercial use or for internal business purposes in accordance with your subscription plan. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services, except as follows: (a) your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials; (b) you may store files that are automatically cached by your web browser for display enhancement purposes; (c) you may print or download one copy of a reasonable number of pages of the Services for your own personal, non-commercial use and not for further reproduction, publication, or distribution; and (d) if we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by any applicable end-user license agreement.
You must not delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from the Services. You must not access or use for any commercial purposes any part of the Services or any services or materials available through the Services.
The Services may allow you to store, manage, and share passwords, secrets, notes, and other data ("User Content"). You retain ownership of all intellectual property rights in your User Content. By uploading User Content to the Services, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating, providing, and improving the Services.
You represent and warrant that: (a) you own or control all rights in and to your User Content and have the right to grant the license granted above; (b) your User Content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity; and (c) your User Content does not violate any applicable law or regulation.
We do not claim ownership of your User Content. However, in order to provide the Services, we need certain rights to process your User Content as described above. We will not sell, rent, or otherwise monetize your User Content to third parties for their own marketing or commercial purposes.
You acknowledge that, in the course of using the Services, you may have access to confidential information of MagicPassword, including but not limited to trade secrets, source code, business plans, pricing information, and customer data. You agree to hold all such confidential information in strict confidence and not to disclose it to any third party, except as expressly permitted in writing by MagicPassword or as required by law.
This confidentiality obligation survives termination of these Terms and will continue for a period of five years from the date of disclosure, or, with respect to trade secrets, for so long as such information remains a trade secret under applicable law.
The Services may contain links to third-party websites or resources, or may integrate with third-party services. We provide these links and integrations only as a convenience and are not responsible for the content, products, or services on or available from those websites or resources, or links displayed on such websites. You acknowledge sole responsibility for and assume all risk arising from your use of any third-party websites or resources.
Your use of third-party services integrated with MagicPassword may be subject to separate terms and conditions and privacy policies. We encourage you to review those terms before using such integrations.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SMS PASSWORD BV EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SMS PASSWORD BV, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SERVICES, ANY WEBSITES LINKED TO THEM, ANY CONTENT ON THE SERVICES OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.
THE FOREGOING DOES NOT AFFECT ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED EUROS (EUR 100), WHICHEVER IS GREATER.
You agree to defend, indemnify, and hold harmless Sms Password Bv, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Services, including, but not limited to, your User Content and any use of the Services' content, services, and products other than as expressly authorized in these Terms; (c) your violation of any rights of another, including but not limited to intellectual property rights; or (d) your violation of any applicable law or regulation.
These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of laws principles.
The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms. Any dispute, controversy, or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach, or termination thereof, shall be resolved through good-faith negotiation between the parties. If the parties cannot resolve the dispute through negotiation within thirty (30) days, either party may initiate mediation in accordance with the rules of the Netherlands Mediation Institute (NMI). If mediation does not result in a settlement within sixty (60) days, either party may bring proceedings in the courts of Amsterdam, the Netherlands, which shall have exclusive jurisdiction.
These Terms, together with our Privacy Policy, Refund and Chargeback Policy, Risk Disclosure, and Cookie Policy, constitute the entire agreement between you and Sms Password Bv regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning its subject matter.
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or, if such modification is not possible, such provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
No waiver of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Sms Password Bv to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
We may assign our rights and obligations under these Terms to any affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets. You may not assign your rights or obligations under these Terms without our prior written consent.
The section headings in these Terms are for convenience only and have no legal or contractual effect.
